Notice Regarding the Appointment of Acting Executive Chairman & CEO of Dentsu Aegis Network Ltd.

Dentsu Group Inc. (Tokyo: 4324; ISIN: JP3551520004; President & CEO: Toshihiro Yamamoto; Head Office: Tokyo; Capital: 74,609.81 million yen) today announces that Tim Andree, Executive Vice President, Director of Dentsu Group Inc., and Executive Chairman & CEO of Dentsu Aegis Network Ltd. (DAN), is taking a temporary leave of absence due to health-related reasons.
The Company today convened a meeting of its Board of Directors and approved the appointment of Toshihiro Yamamoto as Acting Executive Chairman & CEO of DAN in addition to his existing responsibilities in the interim period with immediate effect.

Furthermore, Valerie Scoular, Executive Senior Advisor of Dentsu Group Inc. and Executive Director HR & Board member of DAN, Nick Priday, Executive Officer of Dentsu Group Inc. and Chief Financial Officer & Board member of DAN and Takaki Hibino, Executive Officer of Dentsu Group Inc. and Executive & Board member of DAN will take on a combined advisory role supporting the Acting Executive Chairman & CEO of DAN. These three Board members, and Toshihiro Yamamoto will work together with the DAN Executive team in addition to advice from Tim Andree to continue to deliver the DAN’s strategy.

Candidates for the Board of Directors including Tim Andree will be appointed at the Ordinary General Meeting of Shareholders scheduled to be held in March 2020. The Representative Directors including Tim Andree will be appointed at the Board of Directors meeting held after the Ordinary General Meeting of Shareholders scheduled to be held in March 2020.
